Attention Delaware LLCs: Annual Franchise Tax Penalties
Don’t Delay If You Missed The June 1st Delaware LLC Deadline
For all the founders out there with a Delaware LLC, we wanted to make sure that you’re aware of the annual franchise taxes that are now past due. Much like Corporations, LLCs which were formed in Delaware are subject to an annual franchise tax which must be paid online (separately from your income tax filing). If you manage an LLC, LP or Partnership that is not registered with the State of Delaware, this post does not apply to your business.
For those who need more than the tl:dr version:
The State of Delaware required all annual franchise taxes for Delaware LLCs, LPs, and partnerships to be filed on or before June 1, 2014, which has already passed. Please keep in mind that failure to pay your Delaware annual taxes on time can result in penalties of up to $200 with interest accruing at the rate of 1.5% per month, until paid. As they say, “the juice is running,” so hurry up and take care of it.
There is no formal report filing which is required, merely the payment of the annual fee itself. This fee is $250 for the 2013 fiscal year. The easiest way to take care of this yearly requirement is to log into CSC’s Delaware E-Filing application using your CSCGlobal (Corporation Service Company) username and password.
